Terms of service

Effective November 4, 2026 · Santa’s AI Lab Inc.

Terms of servicePrivacy policyReturns and refundsOne-year limited warrantyShipping and delivery

These Terms of Service govern your purchase of Walkie One hardware and your use of walkieone.com, Walkie One devices, our companion applications, firmware, connectivity offerings and related services that refer to these Terms (together, the “Services”). Your agreement is with Santa’s AI Lab Inc. (“Santa AI,” “we,” “us” or “our”). “You” means the person accepting these Terms or the organization that person is authorized to represent.

Materials expressly released under a separate license are governed by that license for the rights it addresses, as explained in Section 9. These Terms do not take away those permissions. Section 13 excludes disputes under the Walkie One Open Community License and a separately accepted Walkie One Open contributor agreement from its arbitration requirement and class action waiver.

The hardware return policy is in Section 5 and the One Year Limited Hardware Warranty is in Section 6. Our Privacy Policy at https://walkieone.com/privacy explains how we handle personal information. It is a privacy notice, and accepting these Terms does not replace any separate consent required by law.

IMPORTANT DISPUTE NOTICE. Section 13 contains an agreement to individual binding arbitration and a class action waiver, subject to stated exceptions and your right to opt out within 30 days. Please read it carefully. Nothing in these Terms limits rights or remedies that applicable law does not allow us to limit.

1. Acceptance and eligibility

By affirmatively accepting these Terms when placing an order, creating an account or activating the Services, you agree to them. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not place an order or activate the Services. A hardware purchase is also subject to the order details and any additional terms clearly disclosed and accepted before purchase.

You must be at least 18, or the age of majority where you live if higher, to place an order or enter a paid plan. The Services are not intended for children under 13. A person aged 13 to the age of majority may use the Services only with a parent or legal guardian’s permission and supervision, and subject to the age requirements of the selected AI provider. That parent or guardian must accept these Terms and is responsible for the permitted use.

2. The device and connected assistants

Walkie One is a physical, screenless device for sending spoken requests to a connected AI assistant and playing replies. It depends on power, supported software, network coverage and an available assistant connection. It is not an ordinary two-way radio, telephone, emergency communications service or safety device. Do not rely on it for emergency calls, emergency alerts, medical monitoring or other uses where failure could cause injury, death or serious property damage.

The ordinary voice path sends your recorded speech to our cloud service for transcription and converts replies to speech in the cloud. This processing occurs even when the assistant runs on your own computer. A connection to a computer does not mean that the assistant’s model or every part of the service runs locally. A computer-based assistant generally needs that computer and its companion software to remain available; a hosted assistant depends on its provider’s service.

You choose your assistant and the accounts, tools, files and permissions available to it. Features, supported platforms, subscription requirements and availability can differ by provider. Your selected assistant may act on your behalf, including sending messages, changing files or interacting with other services. Review its permissions and approval settings before use. Broad access settings can allow actions without a new confirmation for every action.

Walkie One does not authenticate the identity of a speaker. Anyone holding an unlocked device may be able to issue requests within the connected assistant’s permissions. Do not assume a spoken request is protected by voice recognition or by a PIN for every sensitive action. Keep the device secure, use the available account and device controls, and lock access promptly if it is lost. Disconnecting or locking access cannot recall information already received or undo completed actions.

AI responses and speech recognition can be inaccurate, incomplete, biased or misleading. You must evaluate outputs before relying on them, particularly for consequential decisions, and use qualified professional advice where appropriate. The Services are not a substitute for professional medical, legal or financial advice. Do not use them to make unlawful decisions about people or as the sole basis for high-risk decisions.

Follow the supplied operating and safety instructions. Use suitable charging equipment, protect the device from unsafe heat and liquids, and stop using a device with a damaged or swollen battery. Do not use it where doing so is prohibited or distracts you from safe operation of a vehicle or equipment. Battery-life targets and illustrative images are not a substitute for the specifications and representations applicable to the product you buy.

We may provide firmware and companion software updates to maintain security, compatibility and operation, including automatic updates where the product supports them. Some features may require an update. We will provide any notices or choices required by law. Optional, experimental or preview integrations are identified as such and may change; they do not remove your hardware warranty or mandatory consumer rights.

3. Orders payment and shipping

You may purchase through the checkout options we offer, including guest checkout where available. Purchasing hardware does not itself create device ownership in the Walkie One service or connect an assistant. Device setup and claiming are separate steps, and use of account features requires a Walkie One account.

Standard shipping to the United States and Canada destinations offered at checkout is free for both kits and assembled Walkie One units. The product, quantity, price, currency, taxes, shipping charges and any recurring charges must be shown before you authorize payment. The currently advertised device price is US$199; the price disclosed for your order controls. The hardware price does not include a third-party AI subscription or an ongoing wireless plan unless the offer expressly says so. We will not substitute a higher price or materially different product without your agreement.

Shopify provides our checkout and order infrastructure. Payment information is collected by Shopify and the applicable payment provider. You represent that you are authorized to use the payment method. We remain responsible for our obligations as seller, including applicable refunds, even though a third party processes the payment. Payment-provider services may also have their own terms.

An order is subject to acceptance and availability. We may reject or cancel an order for a genuine stock, payment, fraud, legal or material listing error. If we cancel after charging you, we will promptly refund amounts paid for the canceled items and associated charges as required by law. We will not use an error correction to change an accepted order without giving you the option of a refund.

Preorders and shipment dates

A preorder is an order for a device that is not ready to ship. When checkout states that payment is due today, we charge at checkout, before shipment. The advertised first-batch commitment is shipment by December 21, 2026; the shipment date disclosed for your particular order controls. A shipment date is the date we hand the order to the carrier, not a guarantee of delivery that day.

If we cannot ship within the promised time, we will give the delay notice and cancellation option required by applicable law, seek any required consent to a revised shipment date, and provide a prompt full refund for unshipped merchandise when you cancel or when the law requires cancellation. A general estimate, production issue or third-party delay does not remove these obligations.

You may request cancellation before the order has shipped by emailing contact@walkieone.com with your order number. If the order has not shipped, we will cancel it and refund the amounts charged for it. If it has already shipped, the return process in Section 5 applies. Any stronger cancellation right required by law remains available.

Delivery and order issues

We ship only to destinations offered at checkout. You must provide a complete and accurate delivery address. Any duties or import charges for an international destination must be disclosed as applicable before purchase. Contact us promptly about a lost shipment, damaged delivery or incorrect item so we can help. A missed carrier claim deadline does not eliminate rights you have against us under applicable law. We remain responsible for delivery until the product is delivered to you or your designated recipient, except where applicable law provides otherwise.

4. Wireless service and paid plans

Walkie One’s cellular service requires T-Mobile coverage and compatible, activated service. Availability, speed and reliability vary with location, buildings, network conditions and carrier limitations. The service is for supported Walkie One functionality; it is not a promise of ordinary mobile phone calling, emergency access, unrestricted tethering or coverage everywhere. Third-party assistant subscriptions are separate.

Included wireless allowance

A new device includes wireless service for 30 days from activation or 2 GB of cellular data, whichever occurs first. The allowance begins when the device’s wireless service is activated, not when you place a preorder. It is a single introductory allowance for that device, not a recurring monthly free allowance. If 2 GB is used before day 30, the introductory allowance ends at that point.

When either limit is reached, cellular data service pauses unless you separately choose a paid plan. We do not automatically enroll you in a paid plan, charge an overage fee or use the payment method from your hardware order merely because the free allowance ended. You can decide whether to continue. The hardware return period and warranty are measured from delivery and are separate from the wireless allowance.

Paid wireless plan

The standard paid plan is US$10 per month per device for 2 GB of cellular data per monthly billing period, plus applicable taxes disclosed before enrollment. The monthly period starts when the paid plan is activated. Before enrollment, we will disclose the charge, billing date, data allowance, renewal arrangement, cancellation method and any other material restrictions. Data usage is measured by the wireless service’s usage records; sending and receiving data, including background connectivity and updates, can consume the allowance. We will disclose the applicable measurement and usage rules with the plan.

After the monthly 2 GB is used, cellular data pauses until the next paid billing period or until you expressly purchase an additional option, if one is offered. There are no automatic overage charges. Unused data does not roll over unless the plan offered at enrollment expressly provides otherwise. We will make usage and remaining allowance information available through the service’s customer controls or support.

Renewal cancellation and changes

Recurring billing begins only after you expressly enroll in the paid plan and consent to the recurring charge. If you choose a renewing plan, it renews monthly at the disclosed rate until you cancel. We will provide a confirmation you can keep and any renewal or trial reminders required by law. The free allowance is not consent to recurring billing.

You may cancel renewal at any time through the online cancellation control provided for the plan. If you enrolled online, you will be able to cancel online without unnecessary steps; contact@walkieone.com is also available for help. Cancellation stops future renewal charges and ordinarily leaves service available until the end of the period already paid for, subject to the data allowance. Uninstalling an app, disconnecting an assistant or ceasing to use a device does not by itself cancel a paid plan. Contact us before deleting your account if you need help ending billing.

Except where required by law or stated in an offer, we do not prorate a voluntarily canceled, partly used monthly period. If we end your paid service without cause, we will refund unused prepaid service charges as applicable. A hardware return accepted under Section 5 ends future Walkie One wireless renewals for that device; we will confirm the effective date. Cancellation of a Walkie One plan does not cancel your separate AI provider subscription.

We will give advance notice of price or material plan changes and obtain any consent required by law. Changes apply prospectively, not to a period already paid for. Where the law requires a particular notice period, reminder or easy cancellation method, it controls over these Terms. Failed payment may pause service after any required notice; it does not authorize charges you did not agree to.

5. Sixty day hardware returns

For a Walkie One bought directly from us, you may request a return within 60 calendar days after delivery. Opened devices are eligible if they are in good condition following normal use. You do not need to prove a manufacturing defect to use this return policy. It is separate from the hardware warranty and any statutory rights.

Email contact@walkieone.com with your order number and the device you want to return. We will provide return instructions and a prepaid shipping label. Walkie One pays the return shipping cost. Please use that label, include the supplied accessories, and pack the device securely. Original packaging is helpful but is not required if you use suitable protective packaging. Please send the return within 14 days after we provide the label; contact us if you need help meeting that date.

Normal opening, setup and reasonable evaluation do not disqualify a return. We may decline this voluntary return policy for a device that is lost, materially damaged through misuse, or missing essential supplied parts, but we will explain the reason and preserve any defect or statutory claim. We do not charge a restocking fee for an eligible return. Do not mail a swollen, leaking or otherwise damaged battery without contacting us for safe shipping instructions.

After receiving and checking an eligible return, we will issue the refund to the original payment method within 10 business days, or sooner if required by law. The refund covers the device price and applicable product taxes. Original outbound shipping charges and optional expedited delivery charges are not refundable for a change-of-mind return, except where required by law. If we sent a wrong or defective item, we will also refund the shipping charges required to make the return right. Your bank or payment provider may take additional time to post the refund.

Before returning a device, follow our instructions to remove its account association and saved connections. Ask us for assistance if the device cannot be accessed or reset; a defect that prevents reset does not defeat a valid return or warranty claim. Keep personal backups of work you want to retain. We do not require you to share your AI provider password. The correspondence address in Section 16 is not a return depot; use the return address supplied with your label.

Returns of hardware purchased from another retailer are handled under that retailer’s return policy, without limiting the warranty below or rights against us that cannot be excluded. Digital services already used and third-party subscriptions are not hardware and are not included in the 60-day hardware refund, subject to applicable law and the plan terms.

6. One Year Limited Hardware Warranty

Warrantor. Santa’s AI Lab Inc., c/o WeWork, 12130 Millennium Drive, Suite 300, Los Angeles, CA 90094, United States. Contact: contact@walkieone.com.

Who and what are covered. We warrant to the original purchaser or original gift recipient of a new Walkie One purchased from us or an authorized retailer that the device and hardware accessories we supply with it will be free from defects in materials and workmanship under normal use for one year from delivery. Reasonable proof of purchase or delivery may be requested. Warranty registration is not a condition of coverage.

Remedies. For a covered defect reported during that year, we will, at our option and without charge, repair the product, replace it with a new or refurbished product of equivalent function, or refund its purchase price if repair or replacement is not reasonably available. We pay reasonable shipping costs for an approved warranty claim and will provide instructions. A repaired or replacement product is covered for the remainder of the original warranty period or 90 days from delivery of that repaired or replacement product, whichever is longer. Rights to a different or additional remedy under applicable law remain available.

What is not covered. This limited warranty does not cover ordinary wear, cosmetic damage that does not affect function, ordinary battery capacity decline, loss or theft, or damage caused by accident, misuse, improper storage, unsuitable charging equipment, liquid exposure outside the product’s stated specifications, or an unauthorized modification or repair that caused the problem. A battery manufacturing defect is covered. Using an independent repair service or a third-party part does not, by itself, void this warranty; we may exclude damage actually caused by that work or part, to the extent permitted by law.

The hardware warranty does not guarantee a particular carrier’s coverage, uninterrupted cloud service, AI output accuracy or the continued availability of a third-party assistant. It does not exclude a hardware defect merely because the defect affects connectivity, audio or another connected feature. No particular battery-life target or environmental rating is added by this warranty.

How to obtain service. Email contact@walkieone.com with your order or receipt, device serial number if available, and a description of the problem. We may suggest reasonable troubleshooting before arranging service. Do not send a product until we provide instructions. If a claim is outside coverage, we will explain the basis and obtain your agreement before performing chargeable work. If we cannot repair or replace a covered defect within a reasonable time, we will provide a refund or other remedy required by law.

Your legal rights. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE OR BY COUNTRY. We do not disclaim implied warranties on hardware covered by this written warranty. Nothing here limits rights or remedies that cannot lawfully be limited, including applicable implied warranties, product safety rights or mandatory repair, replacement and refund rights. The service disclaimers in Section 12 do not override this warranty or representations that legally form part of your hardware purchase.

7. Accounts permissions and security

Provide accurate registration and order information, maintain the security of your credentials and claim codes, and promptly tell us about suspected unauthorized access. Do not disclose connection secrets to others or use an account or device you are not authorized to access. An order email or possession of a serial number does not prove ownership of a device in the Services.

Use the available controls to disconnect or forget assistant connections, clear pending content, lock a lost device and delete your account. Some controls affect only Walkie One’s routing and stored data. They do not delete the AI provider’s history, revoke every permission in another application, erase personal backups or stop every task already running on a computer. Manage those separately with the relevant provider or operating system. Account deletion and hardware returns are separate requests.

8. Acceptable use and communications

You are responsible for the content and instructions you submit and for having permission to process information about others. Do not use the Services to record or transmit another person’s speech unlawfully, invade privacy, impersonate someone deceptively, infringe intellectual property, send unlawful spam, exploit or harm children, commit fraud, distribute malicious software or gain unauthorized access to accounts, systems or data.

Do not interfere with the Services, defeat account or device access controls, misuse carrier service, or circumvent technical limits designed to protect security and fair operation. These restrictions do not prohibit activity that applicable law expressly permits, lawful repair, or research authorized under an applicable vulnerability disclosure arrangement.

Do not supply passwords, private keys, full payment-card data, government identification numbers, regulated health information or other information requiring special handling unless the relevant feature is expressly designed and approved to receive it. Use the payment provider’s designated checkout fields for payment details. Do not submit personal information of children under 13 through the Services.

You are responsible for complying with applicable laws and third-party terms when instructing an assistant to send messages or perform actions. We may send necessary service, order, security and legal notices electronically. Signing up for the Services does not itself consent to marketing texts, automated calls or unrelated promotional messages. Marketing email choices are described in the Privacy Policy.

9. Software intellectual property and your content

For companion applications and device firmware not governed by a separate license, and subject to these Terms, we grant you a limited, nonexclusive license to install and use them on compatible equipment you own or control for lawful personal or internal business use. Access to our hosted Services remains subject to these Terms. A hardware purchase transfers the physical product, not ownership of our software, trademarks or other intellectual property. You may transfer the physical device after following the account removal process, subject to law; a software license follows its own terms.

We and our licensors retain rights in the Services, software, documentation and brand assets. Except as permitted by law, an applicable separate license (including an open-source or source-available license) or our written permission, do not copy, sell, sublicense, reverse engineer or create derivative works of our proprietary software. Contact us for notices or source materials we are required to provide under applicable licenses. These Terms do not promise that all firmware or other code is released under a separate license.

Materials that we expressly identify as released under the Walkie One Open Community License, another open-source or source-available license, or a separate written commercial license are governed by that license for the permissions and conditions it addresses. This includes identified software, firmware, CAD files, electronics designs, fabrication files and documentation. If these Terms conflict with that license about using, copying, modifying, distributing, manufacturing from or selling products based on those materials, that license controls for that subject matter. Its warranty, liability, termination and dispute provisions govern claims under that license.

These Terms continue to govern purchases from us and access to our accounts, hosted services and connectivity offerings. A material license does not include such access or authorize interference with our systems. Separate product warranties, express purchase commitments and rights that cannot lawfully be excluded remain unaffected.

You retain the rights you have in the prompts, messages, files and other material you submit (“Input”). Ownership and permitted use of output generated by a connected AI provider are governed by that provider’s applicable terms and law; we do not promise exclusive ownership or uniqueness of output. You must have the necessary rights to send Input through the Services and use the resulting output.

You grant us a nonexclusive, worldwide, royalty-free license to process, transmit, temporarily store, format and reproduce your Input and assistant responses only as needed to operate and secure the Services, deliver the features you request, provide support at your request and comply with law, as described in the Privacy Policy. We may permit our service providers to do these things on our behalf. This license does not authorize advertising with your conversations or training AI models on them. It ends when the relevant content is deleted, subject to permitted retention and applicable law. Your chosen assistant’s separate data terms still apply.

We may use aggregated or de-identified operational information to understand reliability and improve the Services, subject to applicable law. We will not attempt to re-identify information that we have committed to maintain as de-identified except as legally permitted to test de-identification. If you voluntarily provide product feedback, we may use it without restriction or compensation, subject to the contribution provision below; this does not grant broader rights in unrelated personal content.

A contribution intentionally identified and submitted for a company project under a separately accepted contributor agreement is governed by that agreement for the rights it addresses. Our general Input and product-feedback provisions do not replace that agreement or expand the rights it grants in a contribution. Sending prompts, conversation content, support information or ordinary feedback does not by itself make that material a project contribution. Our Privacy Policy continues to describe our handling of personal information.

10. Third party services

AI assistants, carrier networks, operating systems, payment services and linked applications are operated by other providers. You are responsible for obtaining required third-party accounts and paying charges you agree to with those providers. Their terms and privacy practices govern their own services. An integration or logo is not a guarantee of endorsement, uninterrupted compatibility or provider availability.

We do not control what permissions a third-party assistant requests or how it stores or uses data under your account. Review the terms and privacy settings for the actual product you connect; terms for a provider’s API may differ from terms for its consumer subscription. Nothing in this section excludes our responsibility for our own conduct or duties we cannot disclaim as seller or service provider.

11. Suspension termination and changes

We may suspend or terminate access where reasonably necessary to address a material breach, unlawful activity, a security threat, nonpayment for an agreed paid service, or a legal requirement. Where practical and lawful, we will explain the reason and give an opportunity to resolve it. Urgent security or legal issues may require immediate action. Contact us if you believe access was restricted in error.

We may change or discontinue a service, with reasonable notice where practical and any notice required by law. If we discontinue a paid service without your breach, we will refund unused prepaid charges as applicable. Discontinuing a connected service does not erase promises made when selling hardware or mandatory rights to a remedy. Provisions intended to survive termination, including accrued payment obligations, intellectual property, dispute resolution and lawful liability limits, survive.

For material changes to these Terms, we will provide notice and obtain renewed agreement where required. Changes do not retroactively reduce the return or warranty rights attached to an existing hardware order. Section 13 contains separate rules for changes to arbitration. If you do not agree to a prospective service change, you may stop using the affected service and cancel renewal, without losing accrued rights.

Suspending or closing an account, ending a service, or changing these Terms does not by itself terminate, amend or reduce rights already granted under a separate material license. Breach, termination and any change to that license are governed by its own terms. Continued possession or permitted use of licensed materials does not create a right to continued hosted services.

12. Disclaimers indemnity and limits on liability

This section applies to claims under these Terms and concerning purchases from us or our Services. It does not impose additional disclaimers, indemnities or liability limits on claims governed by a separate material license or contributor agreement under Section 9. Those claims follow the relevant agreement, subject to applicable law.

Service disclaimer. To the extent permitted by law, software and online services are provided “as is” and “as available.” We do not promise uninterrupted access, error-free speech recognition, reliable AI output or that a third-party service will meet every need. These service disclaimers do not disclaim the written hardware warranty, applicable implied hardware warranties, express purchase commitments or nonwaivable consumer rights.

To the extent permitted by law, you agree to indemnify Santa AI and its officers, employees and agents against third-party claims and reasonable defense costs caused by your unlawful misuse of the Services, your material breach of these Terms or content you submit without required rights. This does not apply to a claim caused by our negligence, misconduct or breach, or impose an obligation that consumer law prohibits. We will give prompt notice and reasonable cooperation. You may not settle a claim that admits fault for us or imposes nonmonetary obligations on us without our written consent, which we will not unreasonably withhold.

Subject to the exceptions below and to the extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary or consequential damages, or lost profits, arising from these Terms or the Services. Our aggregate liability for covered claims will not exceed the greater of US$100 and the sum of the price you paid us for the hardware giving rise to the claim and the fees you paid us for the affected Services during the 12 months before the event giving rise to the claim.

These exclusions and caps do not limit liability for fraud, willful misconduct, gross negligence, death or personal injury where a limitation is prohibited, or any other liability that cannot lawfully be limited. They do not cap refunds, repairs or replacements owed under Sections 3, 5 or 6, statutory damages or other remedies that cannot be limited, or your right to seek public injunctive relief where available. Some jurisdictions, including New Jersey, do not allow certain exclusions or limitations; these provisions apply only to the extent permitted there. Nothing makes stopping use your sole remedy for a defective product or a violation of law.

13. Dispute resolution by binding arbitration

Agreement and exceptions

Except as stated here, you and Santa AI agree to resolve disputes arising out of or relating to these Terms, the Services, a hardware purchase, advertising or our relationship through final, binding individual arbitration rather than a jury trial. The Federal Arbitration Act governs this agreement. This section applies only to the extent permitted by law and only if you have not opted out as described below.

This Section 13, including its arbitration requirement and class action waiver, does not apply to a dispute concerning the formation, validity, interpretation, scope, performance, termination or enforcement of the Walkie One Open Community License or a separately accepted Walkie One Open contributor agreement. The dispute provisions of the relevant agreement apply. Disputes concerning purchases from us or use of our hosted services remain subject to this Section 13 to the extent they fall within its scope and applicable law permits.

Either party may bring an eligible individual claim in small claims court. Either may bring a court action concerning infringement or misuse of intellectual property. You may contact government agencies, and this agreement does not restrict their authority or your protected reporting. Claims that applicable law makes nonarbitrable remain in court. Public injunctive relief remains available to the extent required by law; if it cannot be arbitrated, the competent court may decide that request, with any lawful stay of other proceedings.

Individual proceedings

You and Santa AI may bring covered claims against one another only in an individual capacity, not as a plaintiff or class member in a class or representative action. Unless both agree and applicable law permits it, the arbitrator may not consolidate unrelated persons’ claims or preside over a class proceeding. This does not prevent relief that applicable law requires to remain available, including public injunctive relief. For claims covered by a valid arbitration agreement, both parties waive a jury trial.

Informal resolution

First contact contact@walkieone.com so we can try to resolve the concern. Before starting arbitration, a party must send a written dispute notice identifying the parties, the relevant order or account, the nature of the dispute and the requested relief. Send a notice to us by email with the subject “Notice of Dispute” or by mail to the address in Section 16, Attention Legal. We will send notice to your available account or order contact. The parties will try in good faith to resolve the dispute for 60 days after receipt. Applicable limitations periods are tolled during that period to the extent permitted by law. This process does not prevent urgent relief or a small claims filing permitted by the rules.

Administrator procedures and costs

The American Arbitration Association (“AAA”) will administer the arbitration under its applicable Consumer Arbitration Rules, including applicable rules for multiple related filings. Current rules and fees are available at https://www.adr.org/rules-forms-and-fees/consumer/. The AAA’s mandatory consumer protections and applicable law control over any inconsistent term here. If AAA cannot administer, the parties may agree on another suitable administrator; if they cannot agree, a court may determine the appropriate forum without requiring you to accept a replacement that strips mandatory consumer protections.

The parties will use a convenient location or remote or documents-only procedures as allowed by the applicable rules. The arbitrator may award the same individual relief a court could award, subject to applicable law, and must give a reasoned written decision. A court of competent jurisdiction decides whether this arbitration agreement was formed, whether a person opted out and whether the class action waiver is enforceable. Other issues are resolved under applicable law and the AAA rules.

Filing, administration and arbitrator fees are allocated under the applicable AAA consumer rules. We will pay the costs assigned to the business and any additional amount required so arbitration is not prohibitively expensive for you. We do not require you to split business-side arbitration fees equally. Attorney-fee awards are governed by applicable law and the rules. Nothing prevents legally protected disclosures to advisers, regulators or others.

Thirty day opt out and future changes

You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing contact@walkieone.com with the subject “Arbitration Opt Out,” your name, the email used for your account or order, and a statement that you opt out. You may instead mail the same information to the Section 16 address, Attention Legal. Opting out does not affect your return rights, warranty or ability to use the Services. If you opt out, neither party is bound by this arbitration agreement with respect to the other.

If we materially change this arbitration agreement, other than contact details, we will notify you. You may reject the change within 30 days after notice by the same method; the arbitration terms you previously accepted then continue to apply. If a provision is unenforceable, it will be severed to the extent law permits. If the individual-proceeding restriction is unenforceable for a particular claim, that claim proceeds in court; other properly severable claims remain subject to this agreement. A failure to administer or pay required arbitration fees has the consequences required by applicable law.

14. Governing law and other terms

California law governs these Terms, without regard to conflicts rules, except that the Federal Arbitration Act governs Section 13 and mandatory laws protecting you where you live remain applicable. For claims properly heard in court, you and we consent to state and federal courts in Los Angeles County, California, except for eligible small claims, a legally required local forum or another forum required by nonwaivable law.

These Terms, your accepted order or plan details and applicable separately accepted terms make up the agreement for the relevant purchase or Service. A more specific written warranty or order promise controls a conflict about that promise. Third-party terms do not eliminate our own obligations. No term is a waiver of a statutory right that cannot be waived.

Separate material licenses and contributor agreements remain effective for their stated subject matter and are not superseded by these general Terms. The allocation in Section 9 and the dispute exclusion in Section 13 apply.

If a provision is invalid, the remainder continues to apply to the extent lawful, subject to Section 13. A failure to enforce a provision is not a waiver. You may not assign a service account without our consent, but may transfer a physical device as described above. We may assign this agreement as part of a lawful business transfer, provided the successor assumes our obligations and your mandatory rights are preserved. Notices may be given by email, through the Services or by mail as appropriate. These Terms do not shorten any statutory deadline for bringing a claim. “Including” means including without limitation.

15. Copyright complaints

If you believe content available through the Services infringes your copyright, email contact@walkieone.com with the subject “Copyright Complaint,” or write to Section 16, Attention Legal. Identify the protected work and the material at issue, provide information sufficient to locate it, your contact details, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that your information is accurate and you are the owner or authorized to act for the owner, and your physical or electronic signature.

Where the Digital Millennium Copyright Act applies, we handle qualifying notices and counter-notices under that law and may terminate repeat infringers in appropriate circumstances. A counter-notice must identify removed material and its former location, contain a signature and a statement under penalty of perjury that removal resulted from mistake or misidentification, give contact information, and include the consent to federal court jurisdiction and service of process required by 17 U.S.C. § 512(g). We will forward and act on valid counter-notices within the applicable legal process.

16. Contact and notices
